										<content:encoded><![CDATA[<p>Calgary, Alberta&#8211;(Newsfile Corp. &#8211; June 25, 2026) &#8211; Comprehensive Healthcare Systems Inc. (TSXV: CHS) (OTCQB: CMHSF) (the &#8220;Company&#8221; or &#8220;CHS&#8221;), an industry leader in healthcare benefits administration software and services, today announced the signing of a new five-year agreement with the Teamsters Local 237 Welfare and Retirees Benefit Fund, one of the largest Teamsters-affiliated benefit organizations in the United States.</p>
<p>The agreement further expands CHS&#8217;s presence within the Taft-Hartley and multi-employer benefits market and represents the third new five-year contract signed by the Company over the past six months. Collectively, these three agreements represent approximately US$12.1 million (approximately C$17 million) in total contract value.</p>
<p>When implemented, these agreements are expected to collectively generate, on average, additional revenue of approximately US$2.4M (approximately C$3.36 million) per year over the duration of the contracts.</p>
<p>Following the signing of the Teamsters Local 237 agreement, CHS&#8217;s estimated value of signed contracts with all existing clients, or its order book, now stands at approximately US$27 million (approximately C$38 million).</p>

<p>Under the agreement, CHS will deploy its Novus360 cloud-based administration platform to support healthcare benefits and retirement administration functions, providing enhanced automation, workflow management, compliance oversight, reporting, and member services capabilities.</p>
<p>Teamsters Local 237 is one of the the largest Teamsters local union in the United States, representing approximately 25,000 active members and more than 7,000 retirees across New York City municipal agencies, public-sector organizations, healthcare institutions, educational facilities, and related public services.</p>
<p>The Teamsters agreement is strategically significant for CHS as it establishes an important reference client within the broader Teamsters ecosystem. The International Brotherhood of Teamsters represents approximately 1.3 million members across the United States and Canada. CHS&#8217;s management team believes that successful implementation of the Novus360 platform positions CHS to pursue additional opportunities among Teamsters-affiliated health, welfare, pension, and retirement funds.</p>

Hutton will provide strategic financial advisory services to CHS, including assistance with evaluating financing alternatives, capital markets strategy, and preparations associated with a potential uplisting to a U.S. national securities exchange, subject to satisfaction of applicable listing requirements and market conditions.</p>

(TSXV: CHS) (OTCQB: CMHSF) (the &#8220;Company&#8221; or &#8220;CHS&#8221;), a provider of healthcare benefits administration software and services, today announced that on June 15<sup>th</sup> – 17th, it will be exhibiting at the IFEBP Trustees and Administrators conference in San Diego, CA, USA.</p>
<p>The IFEBP (International Foundation of Employee Benefit Plans) conference will provide CHS an opportunity to exhibit to an audience of experienced Union Trustees and Benefit Administrators as they gain a deeper understanding of how to run their pension and health and welfare funds.</p>

<p>The Company has been focused on building a strong sales pipeline and participation in conferences is an important step to increase engagement and brand awareness across key target markets in the United States, including labor unions, third-party administrators, and self-insured employers.</p>

Completion of the Settlement will be subject to customary closing conditions, including the receipt of all necessary approvals including that of the TSX Venture Exchange. All securities issued will be subject to a 4 month hold period from the date of issuance under applicable securities laws.</p>

(TSXV: CHS) (OTCQB: CMHSF) (the &#8220;<b>Company</b>&#8221; or &#8220;<b>CHS</b>&#8220;), an industry leader in healthcare benefits administration software and services, is pleased to announce that it has closed the second tranche of its non-brokered private placement (the &#8220;Offering&#8221;) announced on January 8, 2026, and updated January 26, February 12 and March 13, 2026, issuing an aggregate of 4,038,462 units (&#8220;Units&#8221;) at $0.52 per Unit for aggregate gross proceeds of $2,100,000.</p>
<p>Each Unit was comprised of one common share of the Company (&#8220;<b>Shares</b>&#8220;) and one-half of a warrant, with a whole warrant (&#8220;<b>Warrants</b>&#8220;) being exercisable to purchase one common share of the Company at an exercise price of $1.00 for a period of three years after closing. In connection with the second tranche, the Company paid aggregate finder fees of $32,217.62 in cash and issued an aggregate of 61,957 finder warrants exercisable to purchase one common share of the Company at an exercise price of $0.52 for a period of three years after closing. All securities issued are subject to a hold period until August 14, 2026.</p>
<p>Insiders of the Company purchased 2,832,208 Units ($1,472,748) in the second tranche, representing 70.13% of the Units issued in the second tranche, with the associated common shares representing approximately 9.77% of the issued and outstanding shares upon closing, and assuming the deemed exercise of the associated warrants would then represent approximately 13.97% of the then issued and outstanding shares as of closing. The participation by insiders constitutes a &#8220;related party transaction&#8221; under the policies of the TSXV and Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions (&#8220;MI 61-101&#8221;). The Company is relying upon the exemptions from the formal valuation and minority shareholder approval requirements contained in sections 5.5(a) (b) and (c), and 5.7(1)(a) and (b), respectively, of MI 61-101 on the basis that neither the fair market value of the subject matter of nor of the consideration for the transaction, insofar as it involves related parties, exceeds 25% of the issuer&#8217;s market capitalization, and that no securities of the Company are listed or quoted on certain exchanges or markets specified in MI 61-101.</p>
<p>Including the first tranche closing on February 10, 2026 of 7,000,000 Units at a price of $0.50 per Unit for gross proceeds of $3,500,000 (see news release dated February 12, 2026), the Company has issued an aggregate of 11,038,462 Units for aggregate gross proceeds of $5,600,000, and paid aggregate finder fees of $246,417.62 in cash, 428,400 finder warrants exercisable into a common share at a price of $0.50, and 61,957 finder warrants exercisable at $0.52, in each case for a period of three years after their respective closing. The offering remains subject to final Exchange approval.</p>

As a result, we believe CHS is now positioned at an important inflection point—moving from restructuring to growth.</p>
<p>Our core growth engine is our proprietary <b>Novus 360 platform</b>, a modular, end-to-end solution designed to manage the full lifecycle of healthcare and retirement benefits administration. With Novus 360, we serve a diverse set of clients, including self-insured employers, labor unions, and third-party administrators, delivering critical infrastructure that enables eligibility management, claims processing, compliance, and member engagement. Our platform is built to address the complexity of today&#8217;s healthcare ecosystem through automation, integration, and data-driven insights.</p>

<p>The Company reported that its active sales pipeline now exceeds <b>US$20 million</b>, reflecting increased engagement across key target markets in the United States, including labor unions, third-party administrators, and self-insured employers.</p>
<p>Pipeline estimates are based on a combination of submitted requests for proposals (RFPs) and ongoing commercial discussions with prospective customers. 										<content:encoded><![CDATA[<p>Calgary, Alberta&#8211;(Newsfile Corp. &#8211; March 13, 2026) &#8211; Comprehensive Healthcare Systems Inc. (TSXV: CHS) (the &#8220;<b>Company</b>&#8221; or &#8220;<b>CHS</b>&#8220;), an industry leader in healthcare benefits administration software and services, announces that it will be extending its non-brokered private placement (the &#8220;<b>Offering</b>&#8220;), previously announced on January 8, 2026 and upsized on January 26, 2026, of an aggregate of:</p>
<ul>
<li>up to 7,000,000 units (&#8220;<b>Units</b>&#8220;) at a price of $0.50 per Unit for gross proceeds of up to $3.5 million; plus</li>
<li>up to an additional 4,038,462 Units at a price of $0.52 per Unit for gross proceeds of up to $2.1 million,</li>
</ul>
<p>for an additional 30 days, until April 13, 2026. The Company closed a first tranche of the Offering on February 10, 2026, issuing all 7,000,000 of the $0.50 Units (see news release dated February 12, 2026). The extension of the Offering, in respect of the additional $0.52 Units, will allow the Company to accommodate a subscription by its controlling shareholder, who is based overseas and must follow certain processes in order to further participate in the Offering.</p>
<p>Each Unit is comprised of one common share (&#8220;<b>Shares</b>&#8220;) of the Company and one-half of a warrant, with each whole warrant (&#8220;<b>Warrants</b>&#8220;) being exercisable to purchase one common share of the Company at an exercise price of $1.00 for a period of three years after closing.</p>
<p>Completion of the Offering will be subject to customary closing conditions, including the receipt of all necessary approvals including that of the TSX Venture Exchange (the &#8220;<b>Exchange</b>&#8220;). All securities issued will be subject to hold periods under applicable securities laws. The Company may pay finder fees on the Offering in compliance with applicable laws and subject to Exchange approval.</p>
